Definitions and interpretation

Invoice Sherpa LLC, a company incorporated under the laws of the state of California whose registered office is at 2108 N ST STE N, Sacramento, CA 95816; Invoice Sherpa wholly refers to the website that you are currently using, https://invoicesherpa.com, and any sub-domains of this site unless expressly excluded by their own terms and conditions as well as any associated mobile applications.

Data

Collectively all information that you submit to Invoice Sherpa. This definition incorporates, where applicable, the definitions provided in the Data Protection Act 1998 and the European Union’s 2018 General Data Protection Regulation (GDPR).

Cookies

A small text file may be placed on your computer by Invoice Sherpa when you visit certain parts of the website and/or application. Details of the cookies used by Invoice Sherpa are set out in the clause below ( Cookies ).

Any third party that accesses Invoice Sherpa and is not either (i) employed by  Invoice Sherpa LLC and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to  Invoice Sherpa LLC and accessing Invoice Sherpa in connection with the provision of such services.

  • the singular includes the plural and vice versa;
  • references to sub-clauses, clauses, schedules or appendices are to sub-clauses, clauses, schedules or appendices of this privacy policy;

  1. This privacy policy applies between you, the User of Invoice Sherpa, the owner and provider of this  website. Invoice Sherpa takes the privacy of your information very seriously. This privacy policy applies to our use of any and all Data collected by us or provided by you in relation to your use of Invoice Sherpa. Please read this privacy policy carefully.
  2. This privacy policy applies only to the actions of Invoice Sherpa and Invoice Sherpa users with respect to the application and website. It does not extend to any other applications or websites that can be accessed from Invoice Sherpa.

Data collected
  1. We may collect the following Data, which includes personal Data, from you:
  • Name;
  • Contact Information such as email addresses and telephone numbers;
  • Credit card number or other payment related information;
  • All other information added into Invoice Sherpa by a user;
  • Upon using the Service, individual transaction data obtained from your third-party invoicing or accounting application, (such as “Quickbooks,” “Xero,” “Clio” etc.) information collected via the browser, user generated content and other information uploaded to the website by the user, in conjunction with your use of the Service (such information as relates to your clients may be referred to as “Third-Party Client Information);
  • Other information, from time to time, as is legally allowable and related to Invoice Sherpa’s business and offered services;
  • Additional information from or about you may also be collected in other ways, including responses to customer surveys and any communications with our customer service team.

Our use of Data
  1. For purposes of the Data Protection Act 1998 and GDPR, Invoice Sherpa acts as the “data controller”.
  2. We use your Data to create your account, to communicate with you about products and services you’ve purchased, to offer additional products and services, and to bill you. We also use this information to the extent necessary to enforce our Website terms of service and to prevent imminent harm to persons or property, and to potentially conduct other business activities which are lawful and conform with industry standard practices.
  3. We use your Personal Information to provide you the features and functionality of the Service, and may share it with our trusted third parties, to ensure that you have a safe, high-performance experience when using the Service. When you use the Service, including accepting a payment, contacting customer service or requesting technical support, in addition to many other interactions with Invoice Sherpa, we will apply the information that we have collected.
  4. We will retain any Data you submit for as long as Invoice Sherpa deems it necessary to provide adequate service to the user, unless explicitly asked by a user for their Data to be deleted.
  5. Unless it is specifically stated otherwise or prohibited by law, your Data can be disclosed to third parties for the sake of administering better service to the user, also for marketing purposes through various affiliates and / or other companies within our group, and for other legal purposes reasonably related to Invoice Sherpa’s business and related to the providing of its services.
  6. All personal Data is stored securely in accordance with reasonable industry standards. 
  7. Any or all of the above Data may be required by us from time to time in order to provide you with the best possible service and experience when using Invoice Sherpa. Specifically, Data may be used by us for the following reasons:

Information relating to minors

Invoice Sherpa does not knowingly collect or solicit personal information from anyone under the age of 18 or knowingly allow such persons to register with our Service. If you are under 18, please do not send any information about yourself to us, including your name, address, telephone number, or email address. No one under age 18 is allowed to provide any personal information to or on Invoice Sherpa. In the event that we learn that we have collected personal information from a minor under age 18 without verification of parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a child under 18, please contact us as described below. Any Data used by such parties is used only to the extent required by them to perform the services that we request. Any use for other purposes is strictly prohibited.   1. Invoice Sherpa may, from time to time, employ the services of other parties for dealing with certain processes necessary for the operation of Invoice Sherpa. The providers of such services have access to certain personal Data provided by Users of Invoice Sherpa and may be located in various locations throughout the world.
  2. Any Data used by such parties is used only to the extent required by them to perform the services that we request. Any use for other purposes is strictly prohibited. Furthermore, any Data that is processed by third parties will be processed within the terms of this privacy policy.
  3. Additionally, Data can be transmitted to third parties for relevant marketing purposes at the sole discretion of those employed by Invoice Sherpa LLC.

Links to other websites and/or services
  1. Invoice Sherpa may, from time to time, provide links to other websites or applications. We have no control over such websites and are not responsible for the content of these third parties. This privacy policy does not extend to your use of such websites, applications or services. You are advised to read the privacy policy or statement of other third parties prior to using them.

Changes of business ownership and control
  1. Invoice Sherpa LLC may, from time to time, expand or reduce our business and this may involve the sale and/or the transfer of control of all or part of Invoice Sherpa. Data provided by users will, where it is relevant to any part of our business so transferred, be transferred along with that part and the new owner or newly controlling party will, under the terms of this privacy policy, be permitted to use the Data for the purposes for which it was originally supplied to us.

Functionality of Invoice Sherpa
  1. To use all features and functions available on Invoice Sherpa, you may be required to submit certain Data.

In order to use the service administered by Invoice Sherpa   all Users must consent for Invoice Sherpa to use your data for purposes Invoice Sherpa sees fit as outlined elsewhere in the Privacy Policy. Refusal to offer consent is grounds for Invoice Sherpa to block access to services offered by Invoice Sherpa.
  3. A User may revoke consent at any time.

Security
  1. Data security is of great importance to Invoice Sherpa and to protect your Data we have put in place suitable physical, electronic and managerial procedures to safeguard and secure Data collected via Invoice Sherpa.
  2. All information is securely stored on our servers in the United States. We employ industry reasonable standards to protect personally identifiable information, as well as any information provided relating to your invoiced customers.
  3. Third-party client and customer information, provided to Invoice Sherpa by users, shall be considered confidential and shall not be disclosed to any third party, unless required to do so by law or subpoena or if we believe that such action is necessary to conform to the law, or comply with legal process served on us. Such information shall be utilized only for the purpose for which Invoice Sherpa was created, which is to facilitate the billing and collection process for electronic billing of customers and clients.
  4. If password access is required for certain parts of Invoice Sherpa, you are responsible for keeping this password confidential.
  5. We endeavor to do our best to protect your personal Data. However, transmission of information over the internet is not always perfectly secure and is done at your own risk. We cannot ensure the security of your Data transmitted to Invoice Sherpa.

Invoice Sherpa uses Cookies to improve your experience of using Invoice Sherpa and to improve our range of products and services. General
  • You may not transfer any of your rights under this privacy policy to any other person. We may transfer our rights under this privacy policy where we reasonably believe your rights will not be affected.
  • If any court or competent authority finds that any provision of this privacy policy (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of this privacy policy will not be affected.
  • Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
  • The Privacy Policy is governed by and interpreted according to the laws of Canada. Any dispute, controversy or claim arising under, out of or relating to the validity, interpretation and performance of this Privacy Policy shall be referred to and finally determined by the competent courts of the state of California and California law shall apply.

  1. Invoice Sherpa LLC reserves the right to change this privacy policy as we may deem necessary from time to time or as may be required by law. Any changes will be immediately posted on the applicable website and mobile applications, and you are deemed to have accepted the terms of the privacy policy on your first use of Invoice Sherpa following the alterations.
